PROFESSIONAL EXPERIENCE

Tenzing Tunden is a Senior Associate who advises clients on a broad range of transactional, structuring, and advisory tax matters, including domestic and cross border transactions, QSBS qualification and planning, and 1031 and 1033 exchanges. He represents clients across the business lifecycle, from formation, financing, restructuring, mergers and acquisitions, and succession planning. In addition, he drafts and negotiates operating agreements, partnership agreements, reorganization agreements, and other corporate documentation.

His practice has a special focus on the taxation and structuring of litigation settlements, judgments, and litigation finance. He has drafted numerous tax opinions in cases spanning employment litigation, whistleblower/False Claims Acts litigation, toxic tort, and business litigation. He has also advised defendants and accountants on tax reporting and withholding obligations on settlements and judgments.

While his practice is primarily transactional, he has significant experience in federal and state tax controversy. He has represented clients from the beginning of the audit examination, through appeals and litigation in the U.S. Tax Court, and in negotiating settlements with the IRS and California. Tenzing takes great pride in explaining complex areas of the Internal Revenue Code and Treasury Regulations in simple, concise, easy to read communication to clients.

Prior to joining Wood LLP, he worked in the Sacramento office of Weintraub Tobin where he was an associate in the tax and corporate groups. His practice focused on the tax and corporate aspects of M&A transactions, executive compensation, and securities transactions. He began his career at a tax boutique in Los Angeles where his practice focused on federal and state tax controversy and litigation, white collar crime, FATCA compliance, and advising clients through collection due process.

At New York University School of Law, Tenzing received his LL.M in taxation and was the recipient of the Deans Graduate Award and the Lewis Steinberg Tax Law Review scholarship. He received his J.D. from the University of California, Davis School of Law where he graduated in the top third of his class, and his undergraduate degree in Accounting from the University of Arizona.
